End User Licence Agreement

Please read this End User Licence Agreement ("EULA" or "Agreement") carefully before purchasing, downloading, installing, registering, or using the Documents Management Suite (the "Software"). By taking any of those steps, you agree to be bound by the terms and conditions of this Agreement.

This Agreement is between you or your firm (the "Licensee", "you" or "your") and Legal Hi Tech Limited, a company registered in England and Wales (the "Licensor", "we", "us" or "our"). If you do not agree to these terms, do not proceed with any of the above actions.

1. Grant of Licence

Subject to the terms of this Agreement, Legal Hi Tech Limited grants you a revocable, non-exclusive, non-transferable, limited licence to download, install, and use the Software solely for your own or your firm's internal legal practice purposes, strictly in accordance with the conditions set out in this Agreement.

This licence does not include the right to sub-licence, resell, or make the Software available to any third party.

2. Licence Restrictions

You agree not to, and you will not permit others to:

  • Licence, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software or make it available to any third party.
  • Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
  • Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Legal Hi Tech Limited or its affiliates, partners, or suppliers.
  • Use the Software for any unlawful purpose or in any manner inconsistent with this Agreement.

3. Device Restriction

The licence granted under this Agreement is strictly limited to the installation and use of the Software on one (1) single computer within your firm, unless you are explicitly authorised in writing by Legal Hi Tech Limited to use it on more than one computer. Installation, deployment, or use of the Software on multiple computers, shared networks, or by unauthorised third parties without such authorisation is expressly prohibited. For the avoidance of doubt, the restriction does not prevent you from moving your licence from one computer to another at any time from within the app.

If you wish to install the Software on additional computers within your firm, please contact us to obtain the appropriate multi-device licence.

To enforce this restriction, the Software generates an identifier derived from your computer's hardware and transmits it to our licence server on activation and periodic verification. No other information about your computer or its contents is transmitted.

4. Jurisdictional Restriction

You are authorised to use the Software primarily within the jurisdiction or jurisdictions that you declared at the time of purchasing, downloading, or registering the Software. Operating the Software predominantly or exclusively outside of your authorised jurisdiction constitutes a material breach of this Agreement.

Should your firm relocate, expand, or require the Software to be used in a different or additional jurisdiction, you must contact Legal Hi Tech Limited in advance to request a formal amendment to your licence. We will endeavour to accommodate such requests at a reasonable additional charge where applicable.

5. Intellectual Property

The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights therein, are and shall remain the sole and exclusive property of Legal Hi Tech Limited. This Agreement does not transfer to you any ownership of or title to the Software or any intellectual property rights contained therein.

6. Updates and New Versions

Legal Hi Tech Limited may from time to time release updates, patches, or new versions of the Software. Where updates are made available to you during an active subscription period, they are covered by this Agreement unless a separate licence agreement is presented at the time of update.

Legal Hi Tech Limited reserves the right to modify, add, or remove features of the Software at any time. We will endeavour to provide reasonable advance notice of any material adverse changes to functionality where practicable.

7. Subscription and Payment

Access to the Software may be provided on a free or paid subscription basis, as specified at the time of registration or purchase.

  • Paid subscriptions are billed annually in advance. Subscriptions renew automatically unless cancelled in writing at least 14 days before the renewal date.
  • Payment must be made in accordance with the payment terms presented at the time of purchase. Failure to make payment by the due date may result in suspension or termination of your licence. We will endeavour to provide reasonable notice where circumstances permit, but are not obliged to do so.
  • Refunds are not available for annual subscriptions once the licence period has commenced, except where required by applicable law.
  • Early Access, free, beta, and freemium versions are provided at no charge and may be subject to feature limitations or time restrictions as notified by Legal Hi Tech Limited.
  • Price changes will be notified to you at least 30 days before the next renewal date. Continued use of the Software after the renewal date constitutes acceptance of the revised pricing.
  • Renewal reminders. We will notify you by email at least 30 days before each automatic renewal, stating the renewal date and the amount that will be charged.

Consumers. Where you acquire a licence as an individual acting wholly or mainly outside your trade, business, craft or profession, you are a consumer, and the following apply in addition to, and where inconsistent in place of, the terms set out above in this Clause 7:

  • You may cancel a paid subscription at any time before the renewal date by any clear statement of your intention to cancel, including by email. No particular form of notice is required, and the 14-day written notice requirement does not apply to you.
  • Where a price increase is to take effect on renewal, you may cancel at any time before that renewal date and will not be charged the increased amount.
  • Nothing in this Agreement affects your statutory rights, including any right to cancel a distance contract under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and your rights in respect of digital content under the Consumer Rights Act 2015.

8. Termination

This Agreement shall remain in effect until terminated by you or by Legal Hi Tech Limited.

You may terminate this Agreement at any time by ceasing all use of the Software and deleting all copies from your devices. Termination by you does not entitle you to any refund of subscription fees already paid.

Legal Hi Tech Limited may terminate this Agreement immediately and without prior notice if you fail to comply with any provision of this Agreement. Legal Hi Tech Limited may also terminate or suspend this Agreement on 30 days' written notice without cause in the case of paid subscriptions, in which case a pro-rata refund of any prepaid fees for the unused portion of the subscription period will be provided.

Upon termination for any reason, you shall immediately cease all use of the Software and permanently delete all copies from your devices.

9. Disclaimer of Warranties

The Software is provided to you on an "AS IS" and "AS AVAILABLE" basis, with all faults and defects, and without warranty of any kind. To the fullest extent permitted by applicable law, Legal Hi Tech Limited expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Software, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Legal Hi Tech Limited does not warrant that the Software will operate without interruption or error, that defects will be corrected, or that the Software or its third-party components are free from vulnerabilities or unexpected interactions with your system environment.

Nothing in this Agreement excludes or limits any warranty or liability which cannot be excluded or limited under applicable law, including under the Consumer Rights Act 2015 (where applicable).

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • In the case of paid subscriptions, the total aggregate liability of Legal Hi Tech Limited to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed an amount equal to the fees paid by you to Legal Hi Tech Limited in the twelve (12) months immediately preceding the event giving rise to the claim.
  • In the case of free, Early Access, beta, or freemium versions, the liability of Legal Hi Tech Limited is wholly excluded to the fullest extent permitted by law.
  • In no event shall Legal Hi Tech Limited be liable for any indirect, incidental, special, consequential, or punitive loss or damage, including loss of profits, loss of data, loss of goodwill, or business interruption, however caused and under any theory of liability, even if advised of the possibility of such damages.
  • You should always thoroughly check any output file generated by the Software before using or relying on it in any legal or professional context.
  • Where the Software is used to download from or otherwise interact with any court e-filing portal, you remain solely and exclusively responsible for verifying that the download is complete, each downloaded document accurately reflects the name and date, the job was correctly done by the software, and that it complies with all applicable laws including access to the filing portal through the software. The Software does not relieve you of any professional, regulatory, curial or legal obligation. Legal Hi Tech Limited accepts no liability for any failed or inaccurate or incomplete download and naming of the downloaded files, or for any consequence arising from it and from access to the e-filing portal through the software.
Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

11. Data Protection and Privacy

Legal Hi Tech Limited is committed to protecting your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

  • Credentials and case data entered into the Software (including e-filing portal login credentials and case information) are stored locally on your device only. This data is not transmitted to or accessed by Legal Hi Tech Limited.
  • Registration data provided when purchasing, downloading, or registering the Software (such as your name, firm name, email address, and jurisdiction) is processed by Legal Hi Tech Limited for the purposes of pricing, licence administration, support, and product communications.
  • You may exercise your rights under UK GDPR — including access, rectification, erasure, and objection — by contacting us at the address below.

12. Third Party Components

The Software incorporates certain open-source and third-party software components, including but not limited to Tesseract OCR, LibreOffice, and Playwright. These components are subject to their own respective licence terms, which are unaffected by this Agreement. Legal Hi Tech Limited acknowledges the contributions of these open-source projects.

On the Windows version, Tesseract OCR and its dependency Leptonica are bundled directly with the installation and licensed under the Apache License 2.0; the full licence texts are included in the installation folder. Feature availability, including bundled components, may vary by platform.

Your use of any third-party services accessed through the Software (including court e-filing portals) is additionally governed by the terms and conditions of those respective services.

13. Amendments to This Agreement

Legal Hi Tech Limited reserves the right to amend this Agreement at any time. Registered users will be notified of any material amendments at least 30 days before the amended Agreement takes effect, by email to the address provided at registration or by a notice within the Software.

Your continued use of the Software after the effective date of an amended Agreement constitutes your acceptance of the revised terms. If you do not accept the revised terms, you must cease using the Software before the effective date of the amendment.

14. Governing Law and Jurisdiction

This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter or formation.

15. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any such modification or deletion shall not affect the validity and enforceability of the remaining provisions of this Agreement.

16. Entire Agreement

This Agreement, together with our Privacy Policy and any order confirmation or subscription documentation provided to you, constitutes the entire agreement between you and Legal Hi Tech Limited with respect to the Software and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the Software.

No failure or delay by Legal Hi Tech Limited in exercising any right or remedy under this Agreement shall constitute a waiver of that right or remedy.
